Terms of Service & End-User License Agreement

These terms govern your use of LEDEstimate (the “Service”), a web application for estimating, proposing and managing LED video wall projects. By creating an account or using the Service you agree to these terms on behalf of yourself and the company you represent. If you do not agree, do not use the Service.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. You may not resell, sublicense, reverse engineer, or copy the Service, or use it to build a competing product.

2. Accounts

You are responsible for your account credentials and for everything done under your account, including by team members you invite. Keep your information accurate and tell us promptly about any unauthorized use.

3. Your data

You own the data you put into the Service, including customers, estimates, products and files. You grant us the rights needed to host, process and display that data to provide the Service to you. You are responsible for having the right to upload it and for the accuracy of prices, specifications and terms you send to your clients.

4. Third-party integrations

The Service can connect to third-party services you choose to link, such as QuickBooks Online, Gmail, Stripe and GoHighLevel. When you connect one, you authorize us to exchange data with it on your behalf, as described in our Privacy Policy. Your use of those services is governed by their own terms. You can disconnect an integration at any time from Settings. We are not responsible for the availability or actions of third-party services.

5. Acceptable use

• No unlawful, fraudulent or infringing content or activity.
• No attempts to access other customers’ data or to disrupt or overload the Service.
• No sending of spam or unsolicited messages through the Service.

6. Fees

Paid plans are billed in advance as shown at signup or in your account. Fees are non-refundable except where required by law. We may change pricing with at least 30 days’ notice.

7. Estimates are tools, not guarantees

Calculations, resolutions, structural and power figures, and pricing produced by the Service are aids to your own professional judgment. You are responsible for verifying them before quoting, ordering or installing.

8. Disclaimer

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these terms. On termination you may request an export of your data within 30 days, after which we may delete it.

11. Changes

We may update these terms. If changes are material we will notify you by email or in the app before they take effect. Continued use after that means you accept the updated terms.
